Job Description

Position Overview:

The Commercial Counsel is responsible for legal oversight of the commercial contracts and matters of the enterprise, and for providing related legal advice and support.

Job Details:

  • Responsible for managing a substantial commercial contracts workload for transactions with  customers, suppliers, contractors, distributors, service providers, software companies, etc.
  • Draft, review and negotiate commercial agreements for sales and service, procurement and other commercial transactions.
  • Assist in the management of the contract lifecycle, work and documentation flow, approvals and reporting consistent with internal processes.
  • Identify potential liability related to specific transactions and business practices and seek resolution or escalate as appropriate to ensure informed decisions.
  • Conduct legal research and prepare memoranda.
  • Work with the Compliance Department to identify and resolve compliance-related issues.
  • Support the continuous improvement of standard form agreements and legal processes.
  • Perform other related duties and special projects as required.

Background Experience:

  • Law degree from accredited legal program and member of the bar in at least one state
  • Admitted to at least one state bar
  • 8+ years of legal experience
  • Must have strong analytical skills, a combination of legal and business acumen and the ability to work seamlessly in a matrix reporting structure.
  • Must possess good judgment in knowing when and how to escalate issues to the appropriate level and propose solutions.
  • Advanced skills in MS Office applications (Word, Excel, Outlook, PowerPoint) is required.
